ARTICLE 1 – Scope and AREA OF APPLICATION

The present terms and conditions of sale or supply of services apply without restriction or reservation to all the services offered for sale by Dane-Elec Memory on its Internet site, www.nolimitmemory.com (the “Site”). The services offered, accessible via the USB zLight No Limit key and by means of an Internet connection, consist of a data storage space on the Internet and of functions developed around the data stored there or passing through it.

No Limit Memory is a registered trademark of Dane-Elec, a stock company with capital of Euro 8,178,970, whose registered office is located at 159 avenue Gallieni 93170 Bagnolet – France, registered in the Bobigny Commercial and Companies Register under number 333 087 997. The Site is published by Dane-Elec Memory.

For a natural or juridical person, the act of placing an order on the Site carries with it full and complete acceptance of the present terms and conditions of sale. They are accessible at all times on the Site and will, where appropriate, take precedence over any other version and over the client’s own conditions of sale or other conditions.

ARTICLE 2 – PROOF OF TRANSACTION

Payment will be made under the conditions applicable to the remote payment system applied to the Site and accepted by the Client.

The Client is bound by his order once he clicks “Confirm” on the Site’s sales pages. Online payment of the Services by credit card is made through the PAYPAL services of the E-BAY Group. The data recorded by the PAYPAL payment system constitutes proof of financial transactions made by credit card. PAYPAL does not send information relating to credit-card payment to Dane-Elec Memory except, if necessary, in the event of a duly presented complaint involving a particular transaction. Any complaint relating to the Services, access or payment must be addressed to Dane-Elec Memory or to the third party responsible for the payment system, as the case may be.

ARTICLE 3 – PRICE, PAYMENT METHOD AND SECURITY

The prices in effect are inclusive of all taxes; Dane-Elec Memory reserves the right to change the prices at any time. The prices indicated are in Euros.

Services are paid for solely by credit card (bank card, VISA, MASTERCARD). You must pay for all your purchases when ordering.

Payment by credit card

The client’s credit card will be charged in Euros when the selected Pack is subscribed.Input of your bank information is secure. Your credit card number and expiration date are entered in the site’s secure payment area, where all information is encrypted.

DANE-ELEC MEMORY guarantees the security of your online transactions through PayPal. We use one of the most reliable secure systems available on the Internet: SSL (Secure Socket Layers). Most browsers are compatible with the SSL standard. If you have any doubts, do not hesitate to find out more from your Internet service provider.

ARTICLE 4 - RETRACTION

The Services are delivered instantly by activation of an intangible service. In accord with the client, DANE-ELEC MEMORY issues access to the service within seven days. The parties therefore agree that subscription and access to a service will not give rise to the exercise of any right of retraction.

ARTICLE 5 - INTELLECTUAL PROPERTY RIGHT

All documents and information, in whatever form and medium, made available and turned over to the Client remain the exclusive property of DANE-ELEC MEMORY, the sole holder of intellectual property rights to these documents and information.

All information, analyses, studies and in general all elements concerning the Services that are communicated directly or indirectly to the Client, whether in writing, orally or by any other means, are protected information.

The Client acknowledges that the originality, creation and authorship of the Protected Information belong to the Company.

The Company makes no statements and gives no guarantee as to the correctness or exhaustiveness of the Protected Information and will not be liable for the use or non-use that the Client may make of said Protected Information.

ARTICLE 6 - LIMITATION OF LIABILITY

All equipment necessary to establish a connection to the Internet are the Client’s responsibility. The Client is therefore responsible for obtaining, operating or maintaining the computer hardware, software ad any other equipment (modems, etc.) necessary to use the Site and the Services. All costs (telecommunications, computer or other) necessary directly or indirectly for the client to use the Site or the Product are borne exclusively by the Client.

ARTICLE 7 - INFORMATION TECHNOLOGY AND FREEDOM

Dane-Elec Memory has declared to the National Commission on Information Technology and Freedom that it collects personal data concerning its clients for the purpose of providing them with assistance. The Client undertakes to comply with all provisions of the Law dated 6 January 1978 regarding information technology, files and freedoms, as part of his/her use of the services offered by the Company, and in particular as part of his/her use of the storage space to which he/she has access.

One or more cookies may be placed on each client’s hard disk, in particular to enable DANE-ELEC MEMORY to recognize clients when they connect to the Site, and to facilitate management of their accounts. Each Client authorizes the placement of cookies and their use by DANE-ELEC MEMORY.

ARTICLE 8 - FORCE MAJEURE

The terms and conditions of sale consider as force majeure any event beyond the control and/or independent of the will of DANE-ELEC MEMORY, such as, without this list being limitative, natural disaster, strikes, freezing, fire, storm, flood, epidemic, supply problems, strike or other labor conflict, malfunction or interruption of national and international communications affecting its services by virtue of its unforeseeable and unpreventable nature.

In all cases of force majeure, DANE-ELEC MEMORY is relieved of any liability, whether contractual or tortious, by virtue of any guarantees or on any other basis, for any prejudice caused directly or indirectly by the case of force majeure and, consequently, is not liable for any damages and interest or any indemnity because of complete or partial non-performance of its obligations.

DANE-ELEC MEMORY also undertakes to do its best to ensure the proper functioning of the Site and of the Services subscribed or offered; it may not be sued for internal malfunctions, bugs or any other problem due to the site or to the hosting.
